Terms of Service

These Terms of Service (“Terms”) govern your use of AIWhatBot(the “Service”), an AI Sales Agent for WhatsApp operated by Salesground (the “Company”), a business registered in Pakistan.

By signing up for, accessing, or using AIWhatBot, you (“Customer” or “you”) agree to these Terms. If you do not agree, do not use the Service.

1. The Service

AIWhatBot is a software-as-a-service (SaaS) product that provides:

  • An AI Sales Agent that responds to your customers on your WhatsApp Business number
  • Product catalog management
  • Order capture and management
  • Conversation inbox + customer relationship management (CRM)
  • Optional modules: appointments, broadcasts, sales pipeline, reports

The Service is provided “as is” and may be updated, enhanced, or modified at our discretion.

2. Account Registration

To use AIWhatBot, you must:

  • Be at least 18 years old or the legal age of majority in your jurisdiction
  • Be authorized to bind the business you represent
  • Provide accurate, current information (business name, contact, payment details)
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access

You are responsible for all activity that occurs under your account.

3. Subscription Plans & Pricing

3.1 Available Plans

  • Pro: PKR 4,999/month + PKR 4,999 one-time setup fee
  • Power: PKR 9,999/month + PKR 4,999 one-time setup fee
  • Agency: PKR 19,999/month + PKR 9,999 one-time setup fee
  • Lifetime Founders Deal: PKR 29,999 one-time (limited to first 50 customers)

Annual plans receive a 30% discount.

3.2 Payment

  • Payment is in Pakistani Rupees (PKR)
  • Accepted methods: JazzCash, Easypaisa, bank transfer, or cash (in person)
  • Subscription fees are billed in advance
  • Setup fees are charged once with the first month’s subscription
  • Lifetime Deal is a one-time payment with no recurring charges

3.3 Add-Ons & Overages

Add-on charges (extra agents, extra WhatsApp numbers, conversation overages, AI reply overages) are billed monthly per usage. Pricing is published at aiwhatbot.com/pricing and may be updated with 30 days’ notice.

3.4 Free Trial

A 7-day free trial may be offered after an initial meeting. The trial includes capped usage (50 conversations, 25 AI replies). At the end of the trial, you must convert to a paid plan or your access will be locked.

3.5 No Online Card Checkout

AIWhatBot does NOT currently process online card payments. All payments are manual (JazzCash, Easypaisa, bank, cash) confirmed by the AIWhatBot team.

4. Refunds & Cancellation

  • Cancellation: You can cancel anytime. Access continues until the end of the current billing period; no automatic refund of the unused period.
  • Setup fees: Non-refundable.
  • Lifetime Deal: Non-refundable after 14 days of activation.
  • Refund eligibility:If AIWhatBot is unable to deliver promised core functionality within the first 14 days, we will refund the first month’s subscription. Setup fee is not refunded.

5. Acceptable Use

You agree NOT to use AIWhatBot to:

  • Send spam or unsolicited messages
  • Violate the WhatsApp Business Policy or Commerce Policy
  • Engage in illegal activity under Pakistani law (including PECA 2016) or any applicable jurisdiction
  • Send messages without your customers’ opt-in consent
  • Harass, threaten, defraud, or harm other users or customers
  • Distribute malware, viruses, or harmful code
  • Attempt to reverse-engineer, decompile, or copy the Service
  • Resell or sublicense the Service without an Agency tier subscription
  • Use the Service to compete with or replicate AIWhatBot’s product offering

We reserve the right to suspend or terminate any account that violates these rules without refund.

6. Your Data & Customers

  • Data ownership:You own your data and your customers’ data. We are a data processor; you are the data controller.
  • Compliance responsibility: You are responsible for obtaining valid opt-in consent from your customers before contacting them via WhatsApp through AIWhatBot.
  • Data export: You can export your data at any time. We provide CSV export of contacts, conversations, and orders.
  • Data deletion: Upon account closure or written request, we will delete your data within 30 days (except where retention is required by law).

7. Intellectual Property

  • Our IP: AIWhatBot software, brand, logos, documentation, and content are owned by Salesground. You receive a limited, non-exclusive, non-transferable license to use them solely to operate the Service for your business.
  • Your IP: You retain ownership of all content you upload (catalog, KB, conversations, customer data).
  • Feedback: Suggestions or feedback you provide may be used by us to improve the Service without obligation to you.

8. AI Service Disclaimer

AIWhatBot uses third-party AI providers (e.g., Anthropic Claude) to generate responses to your customers. We make best efforts to ensure the AI is accurate and aligned with your business, but:

  • AI responses may occasionally contain errors, hallucinations, or unintended content
  • You are responsible for reviewing AI-generated responses in your conversation history
  • You can take over any conversation manually at any time
  • AIWhatBot is NOT liable for losses arising from incorrect AI responses (see Section 11)

You are responsible for configuring your AI persona, catalog, and knowledge base accurately.

9. WhatsApp Business API Compliance

By using AIWhatBot you agree to comply with:

If your WhatsApp Business Account is suspended or banned by Meta due to your conduct, AIWhatBot is NOT responsible for restoring access. You remain liable for subscription fees through the end of your billing period.

10. Service Availability

  • We target 99% uptime monthly but do not guarantee uninterrupted service.
  • Maintenance windows may be scheduled with prior notice.
  • Outages caused by Meta API issues, telecom failures, or other third parties are outside our control.
  • No service credits are provided automatically; contact support if you experience extended outages.

11. Limitation of Liability

To the maximum extent permitted by law:

  • AIWhatBot is provided “AS IS” without warranties of any kind, express or implied
  • We are NOT liable for: lost profits, lost sales, lost data, business interruption, indirect or consequential damages
  • Our total liability to you in any 12-month period is limited to the fees you paid us in that period
  • Nothing in these Terms excludes liability that cannot be excluded by Pakistani law

12. Indemnification

You agree to indemnify and hold harmless Salesground, its officers, employees, and contractors from any claims, damages, or expenses arising from:

  • Your violation of these Terms
  • Your violation of WhatsApp / Meta policies
  • Your use of AIWhatBot to send messages without proper customer consent
  • Your customer-facing content (catalog, KB, messages)
  • Any third-party claims related to your business operations

13. Suspension & Termination

We may suspend or terminate your account if:

  • You violate these Terms
  • You fail to pay fees when due (after 7 days’ notice)
  • We are required to do so by law or court order
  • Meta suspends your WhatsApp Business Account

You may terminate your account at any time. Termination does not entitle you to a refund of unused paid time.

Upon termination:

  • Access ceases immediately
  • We retain your data for 90 days for recovery purposes, then permanently delete
  • Setup and lifetime fees are non-refundable

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via:

  • Email to your registered address
  • Banner in the AIWhatBot dashboard
  • Updated “Last updated” date at the top of this page

Continued use after a change means you accept the updated Terms.

15. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of the Islamic Republic of Pakistan
  • Any disputes will be resolved in the courts of Karachi, Pakistan
  • The parties will attempt good-faith resolution via WhatsApp / email before initiating any legal proceedings

17. Entire Agreement

These Terms, together with the Privacy Policy and any signed order forms or addenda, constitute the entire agreement between you and Salesground regarding AIWhatBot. They supersede all prior discussions and agreements.

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

These Terms are provided as a template. We strongly recommend reviewing with a qualified Pakistani business lawyer before launch and updating as your business evolves.
